Comprehensive legal terms and conditions for participation in the ONTON Developer Grants Program
By submitting an application to and participating in the ONTON Developer Grants Program (“Program”), you, the Applicant, hereby agree to comply with and be bound by the terms and conditions set forth below:

Eligibility Criteria: This Program is available exclusively to individuals, legal entities, and formal teams who are actively developing or integrating technological solutions with the ONTON Finance ecosystem. Eligibility for the Program is subject to the absolute discretion of ONTON Finance, which may consider factors such as compliance with applicable legal standards, technical expertise, and alignment with ONTON Finance’s strategic goals.

Application and Selection Process: Applicants must submit a fully completed application along with a detailed project proposal in accordance with the application guidelines provided by ONTON Finance. Applications will be assessed on a rolling basis. ONTON Finance reserves the right to accept or reject applications based on its assessment of the feasibility, innovation, and potential impact of the proposed project within the ONTON ecosystem.

Grant Allocation and Disbursement: Approved projects may receive funding in predetermined stages, contingent upon the achievement of specified milestones. The specific amounts and scheduling of disbursements will be dictated by the projected needs, scale, and complexity of the project as determined by ONTON Finance.

Usage of Funds: All grant funds must be expended solely for the purpose outlined in the approved project proposal. Any deviation from the approved project scope or budget must receive prior written consent from ONTON Finance. Misuse of funds will be grounds for immediate termination of the grant and reimbursement of disbursed funds.

Intellectual Property Rights: While grantees retain primary ownership of the intellectual property developed under this Program, acceptance of a grant includes an agreement to release the resulting project under an open-source license as specified by ONTON Finance. Furthermore, the grantee grants ONTON Finance a perpetual, irrevocable, non-exclusive, royalty-free license to use, modify, reproduce, distribute, and display the project in any manner deemed appropriate by ONTON Finance.

Reporting Obligations and Milestone Compliance: Grantees are required to submit periodic progress reports and demonstrate compliance with the milestones delineated in the grant agreement. Failure to comply with reporting obligations or to meet milestone targets may result in the suspension or termination of funding.

Confidentiality Provisions: The grantee shall maintain the confidentiality of all proprietary or confidential information disclosed during the Program and shall not disclose such information without the prior written consent of ONTON Finance.

Consent to Publicity: The grantee consents to the use of their name, likeness, project details, and associated branding materials by ONTON Finance for promotional and marketing purposes related to the Program and other related activities without additional compensation.

Indemnity Clause: The grantee agrees to indemnify, defend, and hold harmless ONTON Finance, its affiliates, and their respective directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys’ fees, arising out of or in any way connected with the grantee’s participation in the Program, use of funds, or breach of these terms and conditions.

Program Termination and Recourse: ONTON Finance reserves the right to terminate a grantee’s participation in the Program and demand repayment of any unused or misallocated funds should the grantee breach these terms and conditions or engage in any conduct detrimental to the reputation or integrity of the ONTON Finance ecosystem.

Governing Law and Dispute Resolution: These terms and conditions shall be governed by the laws of [Jurisdiction]. Any disputes arising from or related to the Program shall be subject to exclusive resolution through binding arbitration under the rules of the [Arbitration Association].
